I. Quality Requirements and Conditions for Quality Responsibility

　　A system of deduction based on substandard product quality is implemented. If the product quality provided by the supplier exceeds the required standards, the settlement will be based on deducting the unit price. The specific methods are as follows:

1. Puyang Coal

　　(1) When 4000 kcal ≤ application base low calorific value < 4200 kcal, a discounted purchase will be implemented. The settlement price for this batch of products = contract unit price + 4200X measured calorific value X0.97; When 3800 kcal ≤ application base low calorific value < 4000 kcal, the buyer has the right to refuse acceptance and storage, and handle it as a return or exchange, with the seller bearing all costs of return and exchange. If the buyer agrees to accept it, the settlement unit price = contract unit price six 4200X measured calorific value X0.87.

　　(2) When 22% < total moisture received ≤ 24%, a price reduction purchase will be implemented. The price reduction calculation method is: total moisture received is higher than the quality standard, and the price reduction amount = contract unit price X (total moisture detection value - total moisture standard value). When the total moisture of incoming coal is > 2, the buyer has the right to refuse acceptance and storage and handle it as a return or exchange. If it has already been put into storage, a price reduction will be implemented, and the price reduction amount = contract price X (total moisture detection value - total moisture standard value) X2.

　　(3) When the total sulfur received is > 0.9%, a return or exchange will be implemented in principle. If it has already been unloaded, a price reduction will be implemented. The price reduction calculation method is: for every 0.1% that the total sulfur on a dry basis exceeds the standard (if the excess is less than 0.1%, it will still be calculated as 0.1%), 3 yuan/ton will be deducted. When the total sulfur content on a dry basis is > 1.1%, the buyer has the right to refuse acceptance and storage and return the goods. If it has already been put into storage, a price reduction will be implemented for the part exceeding 1.1%. The price reduction calculation method is: for every 0.1% that the total sulfur on a dry basis exceeds the standard (if the excess is less than 0.1%, it will still be calculated as 0.1), 6 yuan/ton will be deducted.

　　(4) When 28% ≤ volatile matter < 30%, this batch of products will be deducted by 5 yuan/ton.

　　(5) When 28% ≤ fixed carbon < 30%, this batch of products will be deducted by 5 yuan/ton.

　　(6) When ash content > 10%, this batch of products will be deducted by 5 yuan/ton.

2. Luliang Coal

　　(1) When 3600 kcal ≤ application base low calorific value < 3800 kcal, a discounted purchase will be implemented. The settlement price for this batch of products = contract unit price + 3800X measured calorific value X0.97; When the application base low calorific value < 3600 kcal, the buyer refuses to access the warehouse. If the buyer agrees to accept it, the settlement unit price = contract unit price + 3800X measured calorific value X0.87.

　　(2) When 28% < total moisture ≤ 30%, a price reduction purchase will be implemented. The price reduction calculation method is: for every amount that the total moisture received is higher than the quantity standard, the price reduction amount = contract unit price X (total moisture detection value - total moisture standard value). When the total moisture of incoming coal is > 30%, the buyer has the right to refuse acceptance and storage and handle it as a return or exchange. If it has already been put into storage, a price reduction will be implemented, and the price reduction amount = contract unit price (total moisture detection value - total moisture standard value) X2. 

　　(3) When the total sulfur received is > 0.5%, a return or exchange will be implemented in principle. If it has already been unloaded, a price reduction will be implemented. The price reduction calculation method is: for every 0.1% that the total sulfur on a dry basis exceeds the standard (if the excess is less than 0.1%, it will still be calculated as 0.1%), 3 yuan/ton will be deducted. When the total sulfur content on a dry basis is > 0.7%, the buyer has the right to refuse acceptance and storage and return the goods. If it has already been put into storage, a price reduction will be implemented for the part exceeding 0.7%. The price reduction calculation method is: for every 0.1% that the total sulfur on a dry basis exceeds the standard (if the excess is less than 0.1%, it will still be calculated as 0.1), 6 yuan/ton will be deducted.

　　(4) When 28% ≤ volatile matter < 30%, this batch of products will be deducted by 5 yuan/ton.

　　(5) When 28% ≤ fixed carbon < 30%, this batch of products will be deducted by 5 yuan/ton.

　　(6) When ash content > 12%, this batch of products will be deducted by 5 yuan/ton.

II. Quotation and Payment Settlement

　　1. The validity period of this bidding quotation is from October 26, 2021 to November 30, 2021. The price shall not be adjusted or changed during the validity period. The bidding unit shall fully consider market risks.

　　2. From October 26, 2021 to November 30, 2021, the goods shall be delivered according to the delivery notice issued by the buyer. The supplier shall be responsible for transporting the goods to the company's factory storage yard and unloading the goods. The unloading fee shall be borne by the supplier.

　　3. Settlement method for this bidding purchase: The buyer will settle the payment based on the quantity and quality of the goods delivered by the supplier. The supplier will issue a special VAT invoice (including 13% VAT special invoice) to the buyer based on the settled amount. The buyer will pay the payment to the supplier within 30 days from the date of receiving the invoice.

III. Opening and Evaluation of Bids

　　1. Opening time: November 1, 2021.

　　2. Evaluation method: The bidding will be internally negotiated by the tenderee within 2 days from the bid closing date.

　　3. Notification of winning bid: Within the validity period of the bid, the tenderee will notify the winning bidder in writing (winning bid notice). The winning bid notice is a valid part of the contract.

IV. Signing of Contract Agreement

　　1. After receiving the winning bid notice issued by the tenderee, the winning bidder shall sign the contract agreement at the time and place designated by the tenderee.

　　2. If the winning bidder fails to sign the contract agreement as required due to the winning bidder's reasons, the tenderee will cancel the winning bid qualification. In this case, the tenderee has the right to sequentially select the second winning bidder or the alternate winning bidder.
